Membership Terms and Conditions

Terminology for Clubs

  1. a) Planned Club – This refers to a conceptual club that is not yet operational and does not have any members. It is marked on the map for future development.
  2. b) Club in Formation – This refers to a club that is currently being developed and has fewer than 12 members. It is advertised on the map, and a development committee is in place. Meetings may already be taking place.
  3. c) Active Club – This refers to a fully operational club with over 12 members.
  4. d) Closed Club – This refers to a club that has been terminated and is no longer active, either in its live or formation stage.

Terminology of Types of Meetings

  1. a) Breakfast Club – These are meetings scheduled before 10 am, lasting for 1 hour and 45 minutes. They have a proven structure to generate business.
  2. b) Brunch Club – These are meetings scheduled between 10 am and midday, lasting for 1 hour and 45 minutes. They have a proven structure to generate business.
  3. c) Evening Club – These are meetings scheduled after work hours, typically after 5 pm, lasting for 1 hour and 45 minutes. They have a proven structure to generate business.
  4. d) One-off Events – These are enjoyable events organized regularly to foster business community and interaction. They may be supported by and in support of a charity or benevolent fund.
  5. e) Virtual Meeting – These are virtual / Online meetings conducted using various platforms such as Microsoft Teams, Zoom, or Jitsi. They last for 1 hour and 30 minutes and follow a proven structure to generate business.
  6. f) Netwalking – These are meetings where members engage in networking while walking. They last for 1 hour and 45 minutes and follow a proven structure to generate business.

Online meetings can be integrated into face-to-face club schedules to provide alternative meeting options, reducing travel time and potential disruptions due to bad weather, venue issues, attendee availability, local situations, or national requirements and events. Networking meetings can also be incorporated into regular face-to-face networking clubs as occasional alternatives to room meetings. While TOP Networking primarily promotes face-to-face networking as the most successful approach, it recognizes the value of alternative meetings in specific circumstances.

Please note that full attendance fees apply to both physical and remote meetings, as members benefit from attending events and interacting with other members.

Diversity

West Mercia Networking Ltd, operating as TOP Networking, is committed to fostering diversity and inclusivity within its network of business clubs. Visitors and members are welcome, regardless of gender, age, ethnicity, sexual orientation, race, religious beliefs, or disabilities. We also encourage current members to extend invitations to business owners or employees of larger companies within their networks.

Attendance

Each TOP Networking club or event holds regular scheduled meetings at a designated location, which will be communicated in advance through our web systems and emails. We place great importance on attendance for the benefit of the club and the business community.

Every member is expected to attend as many meetings as possible in their chosen club. We understand that as busy and successful business owners, scheduling conflicts and difficulties may arise. However, we kindly request that you prioritize and reserve this time in your schedule.

If you are unable to attend, please notify the club administrator or update the system at least a couple of days in advance, whenever possible. In such cases, we encourage you to consider the following options:

  1. a) Arrange for a substitute to attend on your behalf, allowing them to present both their own business and yours.
  2. b) Delegate your 60-second presentation to another member of the club, at the very least. If you successfully implement option (a), your attendance will be recorded as if you were present, as a token of recognition. We believe that visitors and guests are essential to the club’s vitality. Therefore, if you plan to bring a visitor, please ensure you have booked them in advance or notified a club official so that they can provide a warm welcome and have all necessary materials and information prepared for an optimal visitor experience.

By default, the chairperson and network assume that you will attend all meetings unless you provide advance notice. Any costs incurred due to non-attendance will be invoiced to the respective member.

Prolonged absences can have a negative impact on the club’s culture. Ultimately, the club leadership, in consultation with the club chair and regional director, will decide whether a member will be allowed to continue their membership or be asked to resign, thus creating an opportunity for a new member to join. Membership termination may occur if a member’s attendance falls below 70% within a six-month period or if they miss three consecutive meetings without valid justification.

Members anticipating an extended absence must inform the chair and/or regional director as soon as possible. Depending on the circumstances surrounding the expected absence, the regional director will determine whether to hold the member’s place open or not. Please note that membership fees will not be refunded in such cases.

It is the responsibility of each member to ensure they comply with any health and safety protocols and guidelines established by the club and the venue where the meetings take place. Failure to comply may result in restrictions on attendance or termination of membership.

Exclusivity of Club and Membership

TOP Networking allows only one club per town or area, unless approved by the regional director and the network head office to make an exception. In major cities, multiple areas or zones may be drawn for and designated for more clubs and regions if necessary. It is crucial to recognize and uphold the marketing benefit of exclusivity provided to our paying members by being and exclusive member in the sole club representing their area. This exclusivity principle also extends to the membership itself.

Clubs generally should not be set up within 5 miles of another club. Exceptions can be made but only after approval of network head office. 3 | P a g e Version 2.1 Prepared by West Mercia Networking LTd t/a TOP Networking 11/07/2023

Members have the exclusive right to represent their business category within their chosen club. No other visitor can attend a meeting to represent the same category, and no person can join a club if there is an existing member already represent that category, unless written consent and approval from the affected member is obtained. In exceptional cases, where it is determined that exclusivity is not compromised, the regional director, in consultation with the wider club members, may override the restriction on visitors. A couple of examples of exceptions would be:

Allowing a Commercial Solicitor and a Family Solicitor in the same club

Allowing a Promotional goods specialist or a Sign writer in a club with a traditional printer

In all cases seek agreeable outcomes and good judgement for the wider club.

Punctuality

The primary objective of each club is to promote the credibility and reliability of its members. The members work together to create the environment and culture that creates this. Therefore, it is crucial to be punctual and ensure the smooth functioning of club meetings. We kindly request that all members and visitors strive to arrive 5 to 15 minutes before the scheduled meeting time, whenever possible.

Membership Transfer within the Network due to events such as Club Closure

Our business networking clubs are vibrant and ever-evolving communities, and throughout your membership period, there may be changes in membership composition and meeting locations. These changes can have both positive and negative impacts on individual members. It is important to understand that TOP Networking retains the right to transfer memberships to other local clubs in order to maintain the network’s quality.

There are various reasons why a club may need to transfer members. For example, it could be to address category overlaps when small businesses modify their products and services, or it could be due to members traveling long distances to their preferred venues, passing by other clubs. Additionally, unforeseen circumstances such as club closures may arise, which are often beyond the control of the club or TOP Networking as an organization. We strive to provide as many members as possible with a transfer to another local club that has an available space in their business category. This transfer will incur no additional charges, and the remaining membership duration will be credited to the new club the member is transferred to. In the event that there is no available space at another club for a member…

When a transfer becomes necessary, we will propose alternative clubs within a reasonable radius of the original club. We will engage in discussions with all affected members to determine the best alternative. If a suitable transfer option is identified, considering factors such as proximity and meeting times, members will be automatically transferred unless they can suggest a more suitable alternative within the network that fulfils their requirements and is available.

If a member declines all proposed transfer options, it will be considered as their resignation from the network.

Please be aware that if a club closes and there are remaining funds associated with the closed club after all financial matters are settled, TOP Networking retains the right to allocate those funds to one or more local charities that have been members of TOP Networking for more than one full year.

Transfer between clubs

Requesting an unscheduled club transfers will upon completion attract an administration fee to a member of £25+vat. It will need to be approved by network head office and may in some case require a renewal membership to be taken (and added to months remaining) to ensure and demonstrate network commitment.

If there is less than 6 months left of the annual membership the transferred member will be asked as part of the good will of the new club to add another 12 months to their membership to allow for correct integration to the new club.

If the transfer is between license holders in other parts of the network. Communication between the licensees is essential and needs to be agreeable. There is usually a policy of honouring time left but it is handled on a case-by-case basis and has to be authorised by regional directors on decision.

Transfer of membership to another employee or contact

Membership is non transferrable from person to person, so a leaving member is unable to pass what is left of their membership to another person or business. Should a company wish to replace a member of staff with another member of staff in TOP Networking this will be considered but cannot be guaranteed.

Should a transfer of membership be granted we reserve the right to charge an administration fee of £25+vat.

Club Structure

TOP Networking, as a business networking company, maintains the authority of its directors and chairs to establish, suspend, postpone, close, or merge clubs or meetings. They may also make changes to venues, meeting times, frequency, and designated club gathering days. However, it is important to note that the opinions of all members will be taken into consideration before implementing any changes.

Membership and Renewal

Individual memberships are offered by TOP Networking, and corporate memberships are not available. TOP Networking reserves the right to reject any replacement for the initial member, except for the original business owner. At the end of a member’s current year of membership, TOP Networking may choose to replace the member and may not offer membership renewal.

Behaviour and Attendance

If complaints are received from other club members regarding a member’s behaviour towards another member or visitor, or if the member provides unsatisfactory service or low-quality products, TOP Networking reserves the right to request the member to leave the club. Furthermore, if a member’s attendance level is deemed unacceptable, TOP Networking retains the right to cancel the member’s annual membership. Please note that membership fees are non-refundable in all cases.

Membership Renewal and Visiting Other Clubs

Membership renewal is by invitation and is not automatically granted. To ensure a collaborative environment, we have implemented a policy that allows only one member per business category in each TOP Networking club. This policy ensures that our members do not face direct competition within the club. Additionally, each member is restricted to membership in a single TOP Networking club and should seek authorization from the Regional Director before visiting other TOP Networking clubs. While all clubs appreciate visitors from other clubs, exclusivity rules must be respected, and clubs must confirm if attendance is possible. Please be aware that certain categories, such as Financial Planners or Accountants, are highly popular, making it difficult to visit other clubs.

Promotion of Business Category

Membership is granted under the condition that members exclusively promote their designated business category during club meetings and interactions with fellow club members outside of meetings. Any member found promoting other business categories will be asked to cease such actions. If a member persists in promoting other products and/or services during club meetings or to fellow club members outside of meetings, their membership will be terminated. Please note that no refunds will be provided in such cases.

Multi-disciplinary Businesses

Multi-disciplinary businesses, such as law firms or solicitors offering multiple services, have two options for representation within a club. They can either obtain separate memberships for each discipline or choose a single membership, allowing a colleague to occasionally present other disciplines as a substitute. The disciplines represented must be agreed upon in advance by the club’s leadership team and the Regional Director. It is not permitted for a company to have multiple employees representing them at the same meeting.

Leadership and Decision-Making

TOP Networking operates with a structure in which a leadership team, consisting of club members, collectively oversees meetings, club administration, and marketing efforts. They utilize the online training and tools provided by TOP Networking’s Head Office. Therefore, after a club has been launched, the attendance of the Area Coordinator, Area Director, or Regional Director at every club meeting is not required.

In all decision-making processes, the involvement of TOP Networking, the Regional Director, Area Director, or Area Coordinator is crucial. Venue negotiations are handled by TOP Networking, and no changes can be made without proper authorization. Any decisions made without the approval of the Regional Director, Area Director, or Area Coordinator can be overridden by them.

The selection of the leadership team responsible for managing the clubs is the responsibility of the TOP Networking Regional Director, Area Director, or Area Coordinator. There is no fixed tenure for leadership roles within the club, and guidance will be provided by TOP Networking, the Regional Director, Area Director, or Area Coordinator accordingly.

Member Behaviour – Protecting the Community

TOP Networking values the integrity and cohesiveness of our community and reserves the right to terminate the membership of any member whose actions pose a threat to the community. Such actions include, but are not limited to, the following:

1. Formation of Competing Networks: Any member found attempting to establish or participating in another online or offline networking organization or structure, either independently or as part of another business or organization, while utilizing the TOP Networking platform or membership to promote their competitive alternative, may face action. We encourage collaboration and mutual growth with other organizations, so please reach out to our leadership team if you require support. However, engaging in activities that distract or harm the referral-based networking routes and undermine the community structure and cohesiveness of the involved club(s) is not permissible.

2. Non-Compete Agreement: In good faith, we request that you agree not to establish any referral-based business community network, in any style, during membership or within 12 months of leaving TOP Networking, to protect the network and its members.

3. Respectful Communication: You agree not to undermine the credibility or morale of members of your TOP Networking club, our Regional Directors, Area Directors, Area Coordinators, or any member of the leadership team of any TOP Networking club or event, through verbal, written, or electronic communication, including social media platforms such as Twitter, Facebook, LinkedIn, or Instagram. Additionally, all members are expected to refrain from using inappropriate language or making discriminatory comments based on sex, race, nationality, sexual orientation, religion, or any other factor. We reserve the right to suspend any member if our Terms & Conditions are violated or if a member’s behaviour is deemed unacceptable, pending a thorough investigation.

4. Termination of Membership: We retain the right to terminate the membership of any member found to be in violation of these Terms & Conditions. The decision regarding reinstatement of membership will be at the discretion of the operating company and/or the directors of TOP Networking, following a comprehensive investigation. If it is determined that a suspended member will not be reinstated, their profile will be deleted from the TOP Networking website without any refund being issued.

A major breach of the terms and conditions that risks club stability or network stability and is in clear violation of the Terms & Conditions should result in consequences such as potential suspension or termination of membership.

There should always be opportunity for a reinstatement of membership after suspension or termination. If a suspended member seeks return to the network this should be allowed at the discretion of the network head office after licensee or regional director requests.

Later sections cover the networks position on data protection.

Membership Fees

Membership fees for our business networking company consist of three parts:

a) One-Off Lock-in Fee: This fee is only paid in the first year when joining with an annual membership. It is a non-refundable deposit to secure an exclusive seat. The club will invest time in setting up the member in the systems and initiating advertising.

b) Annual Membership or Renewal Fee: This fee covers the next 12 months of membership and is paid in advance. It is non-refundable upon receipt of the membership application and subsequent acceptance.

c) Attendance Fee: Most clubs meet every two weeks, resulting in approximately 25 meetings per year. Individual events may refer to this fee as ticket fees, event fees, etc.

Every member is required to pay the One-Off Lock-in Fee (a) and the Annual Membership or Renewal Fee (b) in the first year. Additionally, a monthly payment for the Attendance Fee (c) is set up. If you prefer alternative payment methods, please discuss in advance.

All members pay the same membership fee as it is an essential part of the ethos of TOP Networking.

However, the Chair of a club who takes on the full leadership role, as defined in the TOP Networking manual, will pay full membership to join as a member but will receive a frozen membership while actively performing their role and working to build a healthy business community club.

Please note that membership fees are paid annually and in advance of the membership year. This allows the club to invest in the member and ensure a positive start. It is important to understand that these fees are non-refundable once the membership application is received and accepted.

IMPORTANT: By paying the One-Off Registration Fee to secure a seat, especially in a new formation club, members also agree to pay the annual membership fee when it becomes due. In a formation club, the annual membership fee is due when the club reaches 12 members. In a live club, it is due within 14 days of paying the One-Off Fee. There is no cooling-off period for members.

If a member chooses to leave a club in formation before their annual membership fee has been charged, they will immediately become liable for the fee, and invoices will be sent as they exit. Similarly, if a member transfers from a formation club to a live club, they will be expected to immediately pay the annual membership fee as their membership becomes live.

Clubs may experience fluctuations in numbers over time, and some clubs may drop below 12 members. This does not automatically put them back into formation, but it is a possibility. If TOP Networking decides to return a club to the formation status, new members can sign up using the One-Off Lock-in Fee to start networking, and they will only be required to pay the annual fee when the membership reaches 12 or more.

Existing members in clubs returned to formation will have their memberships frozen at the end as of their membership natural expiry date. That member will be asked to commit to the formation period and the seat will remain active for them if they commit to the new launch. Committing to a launch is the same as a new club and means the member is agreeing to a renewal membership for the following membership and the costs of membership when club returns to correct number. All time after in the frozen period is additional free of charge club time while club rejuvenates. The memberships will unfreeze when the club returns to a live status. Any members where their memberships have reached expiry will be invoiced for the new membership.

If you fail to make any payment due according to these terms and conditions, you will be required to pay interest on the overdue sum from the due date until the payment is made. The interest will accrue each day at a rate of 8% per year above the Bank of England’s base rate, as specified by the Late Payment of Commercial Debts (Interest) Act 1998. Additionally, you will be responsible for reasonable costs of recovery, including any commission payable to a Debt Recovery Agency and/or legal costs incurred on a full indemnity basis, in accordance with section 5A(2A) of the Act.

The network will chase all memberships which remain unpaid with our chosen debt recovery service.

(c) Attendance Fees

Please note that some members may refer to these as Breakfast fees. However, the attendance fee includes costs associated with the venue, such as staffing, heating, room fees, food, etc. It is crucial to support the club’s costs correctly.

Even if you are unable to attend a meeting or have chosen not to eat at your chosen club, you must still pay the attendance fee. This fee is calculated to cover the cost of the meeting, usually based on an estimated headcount. Failure to pay membership/attendance fees will result in termination of your membership. No refunds will be provided in these circumstances. If a member confirms attendance for a meeting but fails to attend, we reserve the right to charge them for the missed meeting(s). Failure to pay could lead to suspension or expulsion from the club.

Charity Seat Membership

All clubs should actively seek a charity to support, as it benefits the behaviour of the business community and helps the club integrate into the local community. However, active charities also have significant opportunities for success. Therefore, it is important for a charity to contribute its membership fee to the club to ensure equal compensation and respect for the value of the community. No charity receives a free membership.

However, once the charity has paid the One-Off Fee and the Annual Membership Fee and set up their regular attendance payment for the venue, the club will reward them with a cash donation of £200. On successful renewal, the club will donate £200 in cash to the charity each year. The charity is responsible for setting up and leading charity drives and events to engage the members, with assistance from the club leadership but not direct leadership.

Replacement or Further Order of Additional Members Accessories

If members require an additional accessory or need a replacement, they can order them through TOP Networking. Order and delivery will be governed by batch and order requirements at the manufacturers and may have long lead times at times.

REFUNDS POLICY

Clubs in Formation: If a member seeks a refund in a formation club then the licensee company that represents the members formation club is responsible for considering that refund for one-off registration fees received. A refund is only considered if a club fails to officially launch within 9 months from the meeting attended by the new member who paid the founding member’s one-off registration fee*. Only the Regional Director or network head office has the authority to suspend or close a club. Refunds will be issued via cheque, BACS/bank transfer, or credited back to the credit card used for the registration fee.

Alternatively, the licensee owning the club may offer the option to transfer membership to another operational TOP Networking club within the licensed geographic area, provided there is a vacancy for the member’s business category. Occasionally, certain clubs may not launch within the designated

timeframe of 9 months after the initial sign-ups and fee payments. In such cases, if the Regional Director determines that the group is not growing sufficiently to be viable for the existing members, any member who signed up between nine (9) and ten (10) months earlier can claim a refund for their registration fee. To be eligible for a refund, a claim must be submitted between the 9th and 10th month after the member’s first attended meeting following the fee payment. If no claim is submitted within this timeframe, it will be assumed that the member is willing to wait until the club is officially launched. Occasionally, a club may lose members, making its operation unsustainable in the current format. In such cases, the club’s status will revert to “In Formation,” and the previously mentioned conditions will apply. Any outstanding membership fees will be added to the 12-month term upon receipt of payment for the annual membership. Refunds are subject to the Terms and Conditions, which can be found under the “Cancellation of Membership” section in our T&C’s.

Please Note: Founder members will only be eligible for a refund of their registration fees if they attend a minimum of 80% of the pre-launch meetings. These terms apply to members and not Area Coordinators (please see the footnote at the bottom of this page).

Existing Active Clubs – ‘Live Clubs’

Payments received by the Regional Director or licensee for the one-off registration fee and/or first-year membership fees are non-refundable under any circumstances.

If the decision is made to close an active club with several active members, the following conditions will apply:

The Regional Director or licensee will make every effort to find a place at a local TOP Networking club, either active or in formation, and transfer the member there while honouring the remaining membership term. However, if the remaining membership is less than two months, the member will be asked to renew their membership, and the remaining membership will be honoured at the end of the renewed term. If this is not possible, the Regional Director or licensee will provide a pro-rata refund to the remaining members of that club, excluding the one-off registration/administration fee (minus any unpaid breakfast fees or outstanding membership invoices).

Members who attended more than 80% of the meetings in the previous 12-month period will be eligible for a pro-rata refund, excluding 1/26th of the annual membership fee paid for each missed meeting during that period. No refund will be provided for the one-off registration/administration fee. If any member or company of the closing club is also a member or company of another TOP Networking club, a credit note will be issued for the remaining membership, which can be utilized at the other club they belong to. In the event of an available vacancy at another local TOP Networking club, the Regional Director or licensee will offer to transfer the member from the closing club to another club operated under the same license.

TOP Networking clubs are structured in a way that enables a leadership team composed of club members to collectively run meetings, administer the club, and market it, utilizing the online training and tools provided by TOP Networking clubs Head Office worldwide. This means that once a new club has been launched, the presence of Area Coordinators, Area Directors, Regional Directors, Country Directors, or Franchisees is not required to attend any future club meetings.

pay the annual membership fee within 14 days of the club’s official launch date. Please also refer to the “Membership Fees,” “Cancellation of Membership,” and “Transfers” sections of our Terms and Conditions.

Members who are found to have attempted to establish or set up a competitive networking company, organization, club, group, or events (whether face-to-face or online) in competition with TOP Networking clubs will have their membership terminated immediately, and they will not be entitled to any refund.

Visitors and Guests

A visitor or guest is acceptable via the following methods, booking via the online website / advertising, via a recommended invite of a member or from a pre-arranged introduction. All visitors need to be in a function of a business that would mean it is beneficial to be part of a club and need to be interested in considering membership. If a visitor is certainly not considering membership, they should be declined. We are seeking long term members and our networking environment is made of ‘farmers’ and not ‘hunters’.

Also, a visitor is only eligible to visit so long as there is no member in the group whose business category is the same. Membership exclusivity is always protected. If there appears to be cross-over ALWAYS converse with the affected member to get permission or advice before allowing attendance. The affected member ALWAYS has final word in this matter if the cross-over of roles is considered reasonable to ask that member in the first place.

If an error is made, we will ALWAYS make the visitor a welcome guest, but the visitor will be made aware of the cross-over and be politely asked to be respectful throughout the meeting to the incumbent member and the relationship they will have established with their fellow members. If possible, an alternative club will then be sourced (where available) for the visitor to attend in the future.

Change of Business category

Should any member request a change of business category after a business change; we reserve the right to refuse this request. However, if we do agree to this request, we also reserve the right to charge an Administration fee of £25+vat. No other member can be already occupying that business category. If the category was always incorrect TOP Networking will happily correct.

Advertising Visitors and Members

By attending or agreeing to attend any TOP Networking event, you should be aware that your appearance in the organization’s advertising materials is highly likely. The purpose of these materials is to promote you and other local businesses to the club. Consequently, it is important to note that by attending, you automatically consent to appearing in promotional photos, documents, reviews, and written materials. Your contact details may also be shared with other members and visitors. If you prefer not to be included in promotions, please inform us, and we will make every effort to accommodate your request and ensure positive sentiments. However, please understand that if promotions have already been released, it may be challenging to remove your presence from all instances due to the nature of social media and the time constraints of our teams and volunteers. Therefore, if you do not wish to be promoted by TOP Networking, it may not be suitable for you to attend. traditional media, social media, advertising materials, word of mouth, websites, and other similar platforms.

Website

As a member, you agree that your marketable business details, such as phone numbers, photographs, and company logos, may be displayed on our website and marketing materials. When a member is deleted, this information is automatically removed.

Unauthorized use or data scraping of any content from our websites, including member details, photographs, profiles, meetings, venues, and maps, on external websites, is strictly prohibited without obtaining express permission from us. Legal action will be taken against the owner of any websites found using data from our websites or materials.

Non-Member Terms & Conditions and GDPR Privacy Policy

We assure you that we will never sell or rent your personal data to any other organization or individual. Only businesses and partners associated with the delivery of TOP Networking services will have access to your data, and only for as long as necessary to fulfil the services outlined on the TOP Networking pages.

When inquiring about a club

By submitting an inquiry, I acknowledge that my contact details may be stored in your database for a limited period. I consent to receiving marketing emails, calls, or texts regarding upcoming meetings, vacancies at local clubs within my business category, and new club launches. I understand that I can unsubscribe at any time, and my personal data will be permanently removed from your database.
